Cederquist assists in new share issue

Cederquist is representing Transcom in conjunction with a new share issue which will inject approximately SEK 500 million into the company.

 Transcom WorldWide S.A. is listed on NASDAQ OMX Stockholm through Swedish Class A and Class B depository receipts.  By means of the new share issue, which is made subject to pre-emption rights for the shareholders and holders of depository receipts, Transcom will realise proceeds of approximately SEK 500 million prior to the costs of the issue. The new share issue is fully underwritten by Transcom’s largest shareholder. In conjunction with the new share issue, Transcom has entered into an agreement regarding a refinancing of the company’s credit facility.  

Transcom’s financial advisor is SEB Enskilda. Advokatfirman Cederquist, with Magnus Lindstedt (equity capital markets), Fredrik Lundén (equity capital markets), Nils Lundgren (equity capital markets), Annika Walin (equity capital markets), Svante Hultqvist (financing) and Mikael Magnusson (financing), are Transcom’s legal advisors, together with NautaDutilh in Luxemburg.
